Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of kolegaproblem.net and any affiliated applications, communications, and services (collectively, the "Service") provided by Kolega ("Kolega", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction if older, to create an account and use the Service. By using the Service, you represent and warrant that you meet these requirements and are not prohibited from using the Service under any applicable law.

3. Description of Service

Kolega is a community platform that enables transport and trucking professionals to anonymously rate and review employers, share workplace experiences, and browse company information. The Service is provided "as is" and "as available." We may modify, suspend, or discontinue any part of the Service at any time without prior notice.

4. Your Account

To access certain features, you must create an account by providing a valid email address and password. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

You may not share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to safeguard your account. We reserve the right to disable any account at any time, including if we reasonably believe you have violated these Terms.

5. User-Generated Content

5.1 Your Responsibility

You are solely responsible for all content you submit to the Service, including reviews, ratings, and comments ("User Content"). You represent and warrant that your User Content:

Is based on your genuine, personal experience
Is truthful, accurate, and not misleading
Does not violate any applicable law, regulation, or third-party right
Is not defamatory, obscene, threatening, or otherwise objectionable

5.2 License Grant

You retain ownership of your User Content. By submitting User Content, you grant Kolega a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content in connection with the Service and Kolega's business, including for promotional purposes. This license continues even if you stop using the Service or delete your account, to the extent your User Content has been shared with or relied upon by others.

5.3 Anonymity

Reviews are presented without your name or email. However, Kolega cannot guarantee absolute anonymity. Depending on the specifics of your review — such as your job title, employment period, and the details you share — it may be possible for others to infer your identity, particularly at smaller companies. You should consider this risk before submitting content.

5.4 Disclaimer of Endorsement

All User Content represents the personal opinions and experiences of the individuals who submit it. Kolega does not author, verify, fact-check, or endorse any User Content. We are a neutral platform and are not responsible or liable for any statements, claims, or opinions expressed in User Content. The presence of a review on the Service does not imply that Kolega agrees with, supports, or has validated its contents.

6. Content Moderation

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion and without notice, for any reason, including content that we believe violates these Terms or applicable law, or is otherwise objectionable.

Users may flag content they believe to be inappropriate. Flagged content may be reviewed and removed at our discretion. Companies or individuals who believe a review is defamatory, false, or violates applicable law may contact us at support@kolegaproblem.net to request its review.

7. Prohibited Conduct

You agree not to:

Submit false, fabricated, or misleading reviews
Submit reviews for companies you have not personally worked for
Create multiple accounts to submit multiple reviews for the same company
Impersonate another person, company, or entity
Harass, threaten, intimidate, or bully other users or subjects of reviews
Post content that contains personal information of others (phone numbers, addresses, etc.)
Use the Service to promote commercial products or services
Use automated means (bots, scrapers, crawlers) to access, collect data from, or interact with the Service
Attempt to gain unauthorized access to the Service, its servers, or any connected systems
Interfere with or disrupt the integrity or performance of the Service
Use the Service for any purpose that is unlawful or prohibited by these Terms

8. Intellectual Property

The Service, including its design, logo, text, graphics, software, and all other elements (excluding User Content), is owned by Kolega and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. The Kolega name, logo, and all related trademarks are the property of Kolega.

9. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for any violation of these Terms. You may close your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 5.2, 5.4, 7, 8, 10, 11, and 12.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KOLEGA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

KOLEGA DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR USEFULNESS OF ANY USER CONTENT OR OTHER INFORMATION AVAILABLE THROUGH THE SERVICE. YOUR USE OF THE SERVICE AND ANY RELIANCE ON USER CONTENT IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KOLEGA AND ITS OPERATORS, OFFICERS, AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY USER CONTENT, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kolega and its operators, officers, and contributors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lithuania. If you are a consumer in the European Union, you may also be entitled to use the EU Online Dispute Resolution platform.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective" date at the top of this page. We may also send you an email notification for significant changes. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kolega regarding your use of the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
